Marketplace Contributor Terms

These Marketplace Contributor Terms (“Contributor Terms”) form part of the RegXperience Terms of Service (“Main Terms”) between DeepDive Labs Pte. Ltd. (“DeepDive Labs,” “we,” “our,” or “us”) and the individual or entity (“Contributor,” “you”) that uploads, distributes, or sells content, templates, or related materials (“Contributor Content”) through the RegXperience Marketplace (“Marketplace”).

By uploading or offering Contributor Content through RegXperience, you agree to these Contributor Terms.

1. Relationship to Main Terms

  1. These Contributor Terms supplement and incorporate the Main Terms by reference.
  2. Capitalised terms not defined here have the meanings in the Main Terms.
  3. If there is a conflict, these Contributor Terms prevail only for issues specific to Contributor activities.

2. Eligibility and Account

  1. You must hold a valid RegXperience account in good standing and provide accurate legal, contact, and payment information.
  2. You represent that you have the rights and authority to upload, license, and distribute all materials you submit.
  3. DeepDive Labs may require identity or professional-qualification verification before enabling marketplace participation.

3. Contributor Content and Ownership

  1. You retain all intellectual-property rights in your Contributor Content.

  2. By uploading, you grant DeepDive Labs a non-exclusive, worldwide, royalty-free, transferable licence to host, display, market, reproduce, and deliver your Contributor Content to customers for the duration of its listing on the Marketplace.

  3. This licence exists solely to operate and promote the Marketplace. It ends when you remove your content, except for copies required to fulfil prior customer purchases or comply with law.

  4. You warrant that your Contributor Content:

    • Is original or properly licensed;
    • Does not infringe any copyright, trademark, or other proprietary right;
    • Contains no confidential, defamatory, or illegal material; and
    • Complies with export-control and sanctions laws.

4. Pricing and Distribution

  1. You may set your own prices or designate items as free.
  2. All transactions are processed by DeepDive Labs as an intermediary using approved payment processors (e.g., Stripe Payments Singapore Pte. Ltd.).
  3. DeepDive Labs collects and remits applicable taxes (such as GST) and pays you the net amount after platform fees, taxes, and payment-processor deductions.
  4. We may run platform-wide promotions or bundles that include your items; we will notify you in advance if they affect pricing.
  5. You authorise DeepDive Labs to display, categorise, and promote your Contributor Content at our discretion.

5. Payments and Payout Schedule

  1. Payouts are processed in Singapore Dollars (SGD) within approximately seven (7) days after transaction settlement.

  2. DeepDive Labs may delay or withhold payouts:

    • While investigating disputes, chargebacks, or compliance checks;
    • If required by law; or
    • Until account verification is complete.

  3. You are responsible for any personal or corporate taxes arising from your income.

  4. Statements of sales and payouts will be made available electronically through your dashboard.

6. Refunds, Disputes, and Chargebacks

  1. No refunds are offerred.
  2. If a refund or chargeback occurs, DeepDive Labs may reverse or offset future payouts to recover the refunded amount.
  3. You agree not to contact customers directly about refunds or disputes unless authorised in writing by DeepDive Labs.
  4. DeepDive Labs’ good-faith decision on refund matters is final.

7. Content Moderation and Removal

  1. DeepDive Labs may review and, if necessary, remove or hide Contributor Content that:

    • Violates these Terms or applicable law;
    • Fails to meet platform quality standards; or
    • Receives repeated substantiated complaints.

  2. We will notify you of the reason where practicable.

  3. You may voluntarily unpublish or delete your content at any time, but prior customer licences remain valid.

  4. Repeated or serious violations may result in account suspension or termination.

8. Warranties and Indemnities

  1. You warrant that:

    • You own or have valid rights to distribute all uploaded materials;
    • Your listings accurately describe the content; and
    • Your activities comply with all laws and regulations.

  2. You will indemnify and hold harmless DeepDive Labs, its officers, employees, and affiliates from any claim, loss, or expense (including reasonable legal fees) arising out of your Contributor Content, your breach of these Terms, or violation of third-party rights.

9. Limitation of Liability

To the maximum extent permitted by law, DeepDive Labs’ total liability to you under these Contributor Terms shall not exceed the total unpaid payouts owed to you for the three (3) months immediately preceding the claim. DeepDive Labs shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits or data.

10. Termination

  1. Either party may terminate these Contributor Terms at any time by written notice.
  2. Termination does not affect rights and obligations accrued before termination, including outstanding payouts or customer licences.
  3. DeepDive Labs may retain archival copies of Contributor Content as required by law or for audit purposes.

11. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. You act as an independent content provider. You have no authority to bind DeepDive Labs or make representations on its behalf.

12. Confidentiality

Both parties must protect confidential information obtained through this relationship and use it only for purposes of fulfilling these Terms. Confidentiality obligations survive termination but do not apply to information that is public, independently developed, or legally required to be disclosed (with prior notice where permitted).

13. Compliance and Export Control

You agree to comply with all applicable laws, including export-control, sanctions, and data-protection laws. You may not offer content originating from or targeted at jurisdictions under comprehensive trade sanctions without written approval.

14. Changes to Contributor Terms

DeepDive Labs may amend these Terms to reflect operational, legal, or policy updates. Revised Terms will be posted at https://regxperience.tech/contributor-terms with an updated effective date. Continued participation after notice constitutes acceptance.

15. Governing Law and Dispute Resolution

  1. These Contributor Terms are governed by the laws of the Republic of Singapore.

  2. Any dispute shall be resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

    • Language: English

  3. Each party submits to the exclusive jurisdiction of the Singapore courts for enforcement or interim relief.
