RegXperience – Terms of Service

Welcome to RegXperience, a software-as-a-service (SaaS) platform operated by DeepDive Labs Pte. Ltd. (“DeepDive Labs,” “we,” “our,” or “us”).

By creating an account or using the RegXperience platform, you (“Customer,” “User,” or “you”) agree to these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Services immediately.

1. Description of Services

RegXperience is a cloud-based governance, risk, and compliance (“GRC”) platform that enables users to browse, create, and manage regulatory assessments, templates, and mappings using AI-assisted analysis.

Users may:

• Access and use templates provided by DeepDive Labs;
• Upload their own regulatory or policy documents;
• Create assessments and store related materials; and
• Participate in a marketplace offering third-party templates contributed by external consultants.

2. Account Registration

You must register an account to use the Services. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account. DeepDive Labs reserves the right to suspend or terminate any account that violates these Terms.

3. License to Use the Platform

DeepDive Labs grants you a limited, non-exclusive, non-transferable, revocable license to use the RegXperience platform solely for your organization’s internal compliance and assessment purposes during your active subscription term.

4. Customer Content and Ownership

All files, documents, and materials you upload (“Customer Content”), together with any analysis or AI-generated outputs derived from them (“Derived Content”), remain your exclusive property. DeepDive Labs does not claim ownership of such content and will only process it to deliver and improve the Services. We may store anonymized usage statistics for platform improvement but will never reuse or disclose your content without consent.

5. Use of AI Providers

Customer uploads may be processed by vetted third-party AI providers (e.g., OpenAI, Anthropic, AWS Bedrock) for analysis. By using the Services, you consent to such processing, which you may opt out of through account settings. All AI providers are contractually prohibited from using your data for model training or other purposes.

6. Templates and Marketplace

• Platform Templates: Templates created by DeepDive Labs are licensed for active subscribers only.
• Contributor Templates: Third-party consultants may publish and sell templates via the marketplace; these remain their property.
• Free or Paid Options: Contributors may choose whether to offer templates for free or for a fee.
• Marketplace Disclaimer: Templates supplied by third-party Contributors are their sole responsibility. DeepDive Labs makes no warranty as to their accuracy, completeness, or suitability.
• Payments & Taxes: DeepDive Labs collects payments and applicable taxes on behalf of Contributors and remits net proceeds to them as per the Contributor Terms.

7. Acceptable Use and Prohibited Activities

You agree not to use the Services to:

1. Upload or transmit unlawful, infringing, defamatory, obscene, or harmful material.
2. Upload or process classified, government-secret, PCI cardholder, or medical/health data (PHI) unless explicitly permitted by written agreement with DeepDive Labs.
3. Interfere with or disrupt the security, integrity, or performance of the Services.
4. Attempt to reverse engineer, copy, or create a competing product using any part of the platform.
5. Violate export-control, sanctions, or data-localization laws.

DeepDive Labs may suspend or terminate any account engaged in prohibited use.

8. Customer Security Responsibilities

You are responsible for:

• Maintaining the confidentiality of credentials;
• Configuring internal access controls; and
• Promptly notifying DeepDive Labs of any unauthorized access or security incidents.

DeepDive Labs is not liable for losses arising from customer failure to secure credentials or manage account access.

9. Payments and Billing

Subscription and template purchases are billed through the RegXperience platform. All fees are payable in advance and non-refundable You authorize DeepDive Labs to process payments through our third-party provider (Stripe). Taxes such as GST are applied as required by law.

10. Data Protection and Processing

DeepDive Labs processes Customer Content only to provide the Services. We comply with the Personal Data Protection Act (PDPA) of Singapore and apply equivalent safeguards to data processed internationally. Security measures include encryption in transit and at rest, access controls, and limited employee access. A formal Data Processing Addendum (DPA) may be provided for enterprise customers upon request.

11. Confidentiality

Each party agrees to keep the other’s non-public information confidential and to use it only for purposes of fulfilling this Agreement. Confidentiality obligations survive termination but exclude information that:

• Becomes public through no breach;
• Was lawfully known before disclosure;
• Is received lawfully from a third party; or
• Must be disclosed by law (with notice to the other party, where permitted).

12. No Legal or Professional Advice

The RegXperience platform and its outputs (templates, mappings, AI analyses) are for informational purposes only. DeepDive Labs does not provide legal, compliance, or audit advice. You are solely responsible for verifying outputs and determining suitability for your organization’s regulatory obligations.

13. Service Availability

DeepDive Labs strives for continuous service availability but does not guarantee uninterrupted or error-free operation. Maintenance, upgrades, or external outages may cause temporary interruptions. We are not liable for downtime or resulting losses. Enterprise Service Level Agreements (SLAs) may be offered separately.

14. Force Majeure

DeepDive Labs shall not be liable for any delay or failure caused by events beyond its reasonable control, including natural disasters, war, cyberattacks, government restrictions, or widespread Internet outages. If such an event continues for more than thirty (30) days, either party may terminate this Agreement without penalty.

15. General Warranty Disclaimer

The Services are provided “as is” and “as available”, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. DeepDive Labs does not warrant that the Services will be error-free or meet specific requirements.

16. Limitation of Liability

To the maximum extent permitted by law, DeepDive Labs’ total aggregate liability arising under this Agreement shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the claim. DeepDive Labs is not liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, data, or business opportunity.

17. Indemnification

You agree to indemnify and hold harmless DeepDive Labs from any claim, loss, or expense arising from:

• Your use of the Services;
• Your uploaded or distributed content; or
• Your breach of these Terms or applicable law.

18. Intellectual Property Infringement and Takedown

If DeepDive Labs receives a credible complaint that any content violates intellectual property rights, we may temporarily remove or restrict access while investigating. We will notify the affected Contributor or Customer and restore access if the issue is resolved. DeepDive Labs reserves the right to permanently remove infringing content or terminate repeat offenders.

19. Export Control Compliance

The Services may be subject to export laws of Singapore, the United States, or other jurisdictions. You agree not to use or access the Services in violation of any applicable export-control or sanctions laws, or by any person or entity listed on restricted-party lists.

20. Changes to Services and Terms

DeepDive Labs may update these Terms or the Services to improve functionality, security, or compliance. Material changes will be communicated through in-app notifications or email. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

21. Governing Version and Notices

The authoritative version of these Terms is the version published at https://regxperience.tech/terms. DeepDive Labs may deliver official notices via email, in-app notifications, or postings on the website. Electronic communications constitute written notice under applicable law.

22. Severability and Waiver

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to remain enforceable. Failure to enforce any right does not waive that right. All rights and remedies are cumulative unless expressly stated otherwise.

23. No Third-Party Rights

No person other than DeepDive Labs and the Customer has any right to enforce any term under the Contracts (Rights of Third Parties) Act 1999.

24. Assignment and Transfer

DeepDive Labs may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer without prior notice. You may not assign your account or rights without DeepDive Labs’ written consent. These Terms bind and benefit the parties and their permitted successors.

25. Entire Agreement and Interpretation

These Terms, together with all incorporated policies (Privacy Policy, Refund & Purchase Policy, Contributor Terms, Subprocessor List), form the entire agreement between DeepDive Labs and the Customer and supersede all prior understandings or communications. Headings are for reference only and do not affect interpretation.

26. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or relating to this Agreement shall be resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

• Language: English Each party consents to Singapore courts for enforcement of arbitral awards or interim relief.

27. Acceptance and Contact Information

By creating an account, accessing, or using RegXperience, you acknowledge that you have read, understood, and agree to these Terms.
