RegXperience -- Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RegXperience software-as-a-service (SaaS) platform and related services operated by DeepDive Labs Pte. Ltd. ("DeepDive Labs," "we," "our," or "us").

By creating an account, accessing, or using the Services, you ("Customer," "User," or "you") agree to be bound by these Terms and all policies incorporated by reference. If you do not agree, you must not use the Services.

1. Definitions

For clarity, the following capitalised terms have the meanings below:

  • "Services" -- the RegXperience platform, marketplace, tools, APIs, documentation, and related hosted features made available by DeepDive Labs.
  • "Customer Content" -- all information, documents, data, or materials uploaded or otherwise provided by you through the Services.
  • "Derived Content" -- any analyses, summaries, mappings, or AI-generated outputs produced from Customer Content via the Services.
  • "Contributor" -- any individual or entity that uploads or distributes content or templates through the RegXperience marketplace.
  • "Contributor Content" -- all templates, checklists, frameworks, or other materials uploaded by Contributors.
  • "Platform Templates" -- templates authored by DeepDive Labs and made available within the Service.
  • "Marketplace" -- the online environment operated by DeepDive Labs through which Contributors may offer their templates for free or for sale.
  • "Subprocessors" -- third-party service or AI providers engaged by DeepDive Labs to process data on its behalf.
  • "Applicable Data Protection Laws" -- the Singapore Personal Data Protection Act 2012 ("PDPA"), the EU General Data Protection Regulation 2016/679 ("GDPR"), the UK Data Protection Act 2018, and any other data-protection legislation applicable to the processing of personal data under these Terms.
  • "Personal Data" -- any information relating to an identified or identifiable natural person, as defined under Applicable Data Protection Laws.


2. Provision of Services

  1. DeepDive Labs will make the Services available to you on a subscription or usage basis in accordance with these Terms and any ordering or subscription details displayed on the platform.
  2. DeepDive Labs may modify features, functionality, or user interface from time to time to improve performance, security, or compliance.
  3. Nothing herein requires DeepDive Labs to provide custom development, on-premises software, or any deliverable not expressly included in your plan.


3. Account Registration and Access

  1. You must register for an account using accurate and current information.

  2. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account or use the Services. By registering, you represent and warrant that you meet this requirement.

  3. You are responsible for:

    • Maintaining the confidentiality of credentials;
    • Configuring internal user permissions; and
    • All activities under your account.
  4. DeepDive Labs may suspend or terminate accounts that are inactive, compromised, or used in violation of these Terms in accordance with Section 12.



4. License Grant and Restrictions

  1. DeepDive Labs grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your organisation's internal compliance and assessment purposes during your active subscription.

  2. Except as expressly permitted, you may not:

    • Copy, modify, or create derivative works of the Services;
    • Reverse engineer or attempt to derive source code;
    • Remove proprietary notices; or
    • Resell or sub-license the Services.
  3. All rights not expressly granted remain with DeepDive Labs.



5. Customer Content and Ownership

  1. You retain all ownership rights in your Customer Content and Derived Content.

  2. DeepDive Labs obtains no title or ownership interest in such content.

  3. You represent that you have all rights and permissions to upload and process Customer Content through the Services.

  4. DeepDive Labs will process Customer Content only to:

    • Operate and maintain the Services;
    • Generate Derived Content as requested; and
    • Improve performance and reliability through anonymised, aggregated statistics that cannot be used to identify you or any individual.
  5. DeepDive Labs will not disclose or reuse Customer Content except as required by law or authorised by you.



6. AI Processing and Subprocessors

  1. Certain analysis functions rely on third-party AI or cloud providers such as OpenAI, Anthropic, and AWS Bedrock.
  2. Customer Content may be transmitted to such providers solely for processing and analysis in accordance with these Terms and our Data Processing Addendum.
  3. All Subprocessors are vetted for confidentiality, security, and data-protection compliance and are contractually prohibited from using your data for model training.
  4. The current list of Subprocessors is maintained at https://regxperience.tech/legal/subprocessors and may be updated periodically. We will notify you of material changes to the Subprocessor list at least fourteen (14) days in advance.
  5. You may opt out of AI processing where such option is made available, understanding that some functionality may become unavailable.
  6. If you object to a new Subprocessor, you may notify us in writing within fourteen (14) days of the notice. If we cannot reasonably accommodate your objection, you may terminate the affected Services without penalty.


7. Marketplace and Templates

  1. Platform Templates remain the intellectual property of DeepDive Labs and are licensed only during an active subscription.
  2. Contributor Content remains the property of the Contributor.
  3. DeepDive Labs acts solely as a marketplace intermediary, collecting payments, remitting applicable taxes, and distributing net proceeds to Contributors.
  4. Templates supplied by Contributors are their sole responsibility; DeepDive Labs makes no warranty as to accuracy or completeness.
  5. You must evaluate the suitability of any template before use.
  6. All Marketplace purchases are final and non-refundable, as detailed in the Refund & Purchase Policy. You may report defective or misleading templates to DeepDive Labs for review.


8. Acceptable Use

You shall not, directly or indirectly:

  1. Upload or transmit any content that is unlawful, defamatory, obscene, infringing, or harmful.
  2. Upload or process information classified as government-secret, PCI cardholder, or health/medical data (PHI) without written consent from DeepDive Labs.
  3. Interfere with or disrupt the integrity or security of the Services or its data.
  4. Attempt to gain unauthorised access to the Services or related systems.
  5. Use the Services to develop or train competing systems or to benchmark without consent.
  6. Violate export-control or sanctions laws of Singapore, the U.S., or any applicable jurisdiction.

DeepDive Labs may suspend or terminate access for violations of this clause in accordance with Section 12.



9. Customer Security Responsibilities

  1. You must maintain reasonable administrative, technical, and physical safeguards to protect credentials and Customer Content.
  2. You are responsible for actions taken using your accounts, including by employees or contractors.
  3. DeepDive Labs is not liable for losses caused by your failure to secure access credentials.


10. Payment Terms

  1. Fees are due as shown in your selected plan or purchase.
  2. DeepDive Labs collects all payments through its designated payment processor (e.g., Stripe Payments Singapore Pte. Ltd.).
  3. Unless stated otherwise, all fees are payable in advance and non-refundable. All sales are final except where required by mandatory applicable law. See the Refund & Purchase Policy for details.
  4. Prices are exclusive of taxes; DeepDive Labs will charge applicable GST or other taxes.
  5. Late or failed payments may result in suspension of access in accordance with Section 12.


11. Free Tier and Beta Features

  1. DeepDive Labs may offer certain Services or features at no charge ("Free Tier") or as pre-release functionality ("Beta Features").
  2. Free Tier access and Beta Features are provided at DeepDive Labs' sole discretion and may be modified, limited, or discontinued at any time without prior notice or liability.
  3. Beta Features are provided "as is" without warranty. They may contain errors, be incomplete, or behave unexpectedly. You use Beta Features at your own risk.
  4. Free Tier access does not create any entitlement to continued free access. DeepDive Labs reserves the right to require payment for any previously free feature upon reasonable notice.
  5. DeepDive Labs may impose usage limits, feature restrictions, or storage caps on Free Tier accounts.
  6. If you participate in a beta programme, you agree not to disclose non-public information about Beta Features without DeepDive Labs' prior written consent.


12. Suspension, Termination and Account Closure

Suspension by DeepDive Labs

  1. DeepDive Labs may suspend your access to the Services, in whole or in part, if:

    • You breach any provision of these Terms;
    • Your account is used in a manner that threatens the security, integrity, or availability of the Services;
    • Payment is overdue by more than seven (7) days; or
    • Required by law or a regulatory authority.
  2. Where reasonably practicable, DeepDive Labs will provide written notice (by email or in-app notification) before or promptly after suspension, including the reason for suspension.

  3. You will have fourteen (14) days from the date of notice to cure the breach, after which DeepDive Labs may terminate your account if the breach remains unresolved.

Termination by Either Party

  1. You may terminate your account at any time by contacting us at hello@deepdivelabs.tech or through the account settings in the platform.
  2. DeepDive Labs may terminate your account for cause in accordance with the suspension and cure provisions above.
  3. Either party may terminate these Terms immediately upon written notice if the other party becomes insolvent, enters liquidation, or ceases to carry on business.

Effects of Termination

  1. Upon termination, your right to access and use the Services ceases immediately.
  2. You will have a thirty (30) day grace period following termination to export your Customer Content. DeepDive Labs will provide reasonable assistance with data export upon request during this period.
  3. After the grace period, DeepDive Labs will delete your Customer Content in accordance with Section 13.
  4. Termination does not relieve you of any obligation to pay fees incurred before the termination date.
  5. Sections that by their nature should survive termination (including Sections 5, 13, 14, 15, 16, 19, 20, 21, 29 and 30) shall survive.


13. Data Retention and Deletion

  1. During your active subscription, Customer Content is retained in accordance with the platform's storage and backup procedures.
  2. Following termination or account closure, DeepDive Labs will retain your Customer Content for thirty (30) days to allow for data export (see Section 12.8).
  3. After the thirty (30) day grace period, DeepDive Labs will permanently delete or irreversibly anonymise your Customer Content within a further thirty (30) days, unless longer retention is required by applicable law or regulation.
  4. You may request deletion of specific Customer Content at any time by contacting hello@deepdivelabs.tech. Such requests will be processed within thirty (30) days.
  5. Anonymised, aggregated data that cannot reasonably be used to identify you or any individual may be retained indefinitely for analytical and service-improvement purposes.
  6. Backup copies may persist in encrypted backups for a limited period consistent with our backup rotation schedule, after which they will be permanently destroyed.


14. Data Protection and Compliance

  1. DeepDive Labs acts as a data processor (or "data intermediary" under PDPA) for Customer Content containing Personal Data and complies with Applicable Data Protection Laws.
  2. You act as data controller (or equivalent) for any Personal Data contained within your Customer Content and are responsible for ensuring that you have a lawful basis to process such data.
  3. We implement encryption in transit (TLS 1.2+) and at rest (AES-256), access controls, and regular security reviews.
  4. A Data Processing Addendum (DPA) is available upon request and forms part of these Terms where required by Applicable Data Protection Laws. For EU/UK customers, the DPA incorporates the EU Standard Contractual Clauses for international data transfers.

Data Breach Notification

  1. In the event of a confirmed security breach affecting Customer Content or Personal Data, DeepDive Labs will:

    • Notify affected customers without undue delay and, where required by GDPR, within seventy-two (72) hours of becoming aware of the breach;
    • Provide a description of the nature of the breach, the categories and approximate number of records affected, and the likely consequences;
    • Describe the measures taken or proposed to address the breach and mitigate its effects; and
    • Cooperate with the customer and applicable supervisory authorities as required.

Data Subject Rights

  1. Where a data subject exercises rights under Applicable Data Protection Laws (including rights of access, rectification, erasure, portability, or objection), DeepDive Labs will assist you in fulfilling such requests to the extent technically feasible and as required by law.


15. Confidentiality

  1. Each party ("Receiving Party") shall keep confidential any non-public information received from the other ("Disclosing Party").
  2. Confidential Information includes technical, business, or customer data disclosed in connection with the Services.
  3. The Receiving Party shall use such information only for fulfilling obligations under these Terms and protect it with at least reasonable care.
  4. Exclusions: information that is public, previously known, independently developed, or legally required to be disclosed (with prompt notice to the Disclosing Party where permitted by law).
  5. Obligations survive for three (3) years after termination, and indefinitely for trade secrets or Personal Data.


16. No Legal or Professional Advice

All templates, analyses, or AI-generated outputs are provided for informational purposes only. DeepDive Labs does not provide legal, audit, or compliance advice, and the Services are not a substitute for professional judgment. You remain solely responsible for verifying the accuracy and applicability of any output or template.



17. Service Availability

  1. DeepDive Labs endeavours to maintain high availability but does not guarantee uninterrupted or error-free operation.
  2. Scheduled maintenance or external outages may cause temporary interruptions.
  3. DeepDive Labs shall not be liable for any loss due to downtime or latency.
  4. Enterprise Service Level Agreements (SLAs) may be offered separately.


18. Force Majeure

DeepDive Labs shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, epidemic, war, terrorism, labour disputes, government action, power or Internet failure, or cyber-attacks. If such event continues beyond thirty (30) days, either party may terminate these Terms without liability.



19. General Warranty Disclaimer

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. DeepDive Labs does not warrant that the Services will meet specific requirements, be error-free, or operate without interruption.



20. Limitation of Liability

  1. To the maximum extent permitted by law, DeepDive Labs' total aggregate liability arising under or in connection with the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
  2. DeepDive Labs shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, or loss of profits, revenue, data, or business opportunities, even if advised of such damages.
  3. Nothing in this clause limits liability for death or personal injury caused by negligence, fraud, or matters that cannot be excluded by law.


21. Indemnification

Your Indemnification Obligations

You shall indemnify and hold harmless DeepDive Labs, its directors, and employees from any claim, damage, or expense arising out of:

  1. Your use or misuse of the Services;
  2. Your Customer Content or Derived Content;
  3. Your breach of these Terms or applicable law; or
  4. Your violation of any third party's rights.

DeepDive Labs' Indemnification Obligations

DeepDive Labs shall indemnify and hold harmless you from any third-party claim that the Services, as provided by DeepDive Labs, infringe any intellectual property right of a third party, provided that:

  1. You notify DeepDive Labs promptly of such claim;
  2. DeepDive Labs has sole control of the defence and any settlement; and
  3. You provide reasonable cooperation at DeepDive Labs' expense.

This obligation does not apply to claims arising from your Customer Content, modifications you make to the Services, or use of the Services in combination with third-party products not authorised by DeepDive Labs.

General

DeepDive Labs will provide prompt notice of any claim against you and may assume defence with counsel of its choice.



22. Intellectual Property Infringement Procedure

  1. If DeepDive Labs receives a credible notice alleging that content infringes third-party IP, we may remove or disable access while investigating.
  2. We will notify the affected user and restore access if the issue is resolved.
  3. Repeat infringers may have accounts terminated.
  4. Notices of infringement should be sent to hello@deepdivelabs.tech with supporting documentation.


23. Export Control and Sanctions Compliance

The Services may be subject to export-control and sanctions laws. You represent that you are not located in, or acting on behalf of, any jurisdiction or entity prohibited from receiving such services. You agree to comply with all applicable trade restrictions.



24. Changes to Services and Terms

  1. DeepDive Labs may modify these Terms or the Services from time to time.
  2. Material changes will be notified via email, in-app message, or website posting at least fourteen (14) days before taking effect.
  3. Continued use after the effective date constitutes acceptance.
  4. You may discontinue use before the change takes effect if you do not agree.


25. Governing Version and Notices

  1. The authoritative version of these Terms is published at https://regxperience.tech/legal/terms showing the effective date.
  2. DeepDive Labs may provide notices electronically by email, in-app messages, or website postings.
  3. Electronic communications satisfy legal notice requirements under the Electronic Transactions Act 2010 (2020 Rev Ed).


26. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to remain enforceable. Failure or delay in enforcing any right does not constitute a waiver. All rights and remedies are cumulative unless expressly stated otherwise.



27. No Third-Party Rights

No person other than DeepDive Labs and the Customer has any right under the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore to enforce any provision of these Terms.



28. Assignment and Transfer

DeepDive Labs may assign or transfer its rights or obligations under these Terms to any affiliate, successor, or acquirer without prior notice. You may not assign or transfer your rights or obligations without DeepDive Labs' prior written consent. These Terms bind and benefit the parties and their permitted successors and assigns.



29. Entire Agreement and Interpretation

These Terms, together with all incorporated policies (Privacy Policy, Refund & Purchase Policy, Contributor Terms, and Subprocessor List), constitute the entire agreement between DeepDive Labs and the Customer and supersede all prior agreements or representations. Headings are for convenience only and do not affect interpretation. Ambiguities shall be interpreted according to the mutual intent of the parties, not against the drafter.



30. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed under the laws of the Republic of Singapore, without regard to conflicts of law.

  2. Any dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

  3. Each party consents to the jurisdiction of Singapore courts for interim relief or enforcement of awards.



31. Acceptance and Contact Information

By creating an account or using the Services, you acknowledge that you have read, understood, and agreed to these Terms.
